Critical Metals Corp. (NASDAQ: CRML) has announced a definitive agreement to acquire European Lithium Ltd (ASX: EUR) in an all-stock transaction valued at approximately $835 million. The deal effectively consolidates 100% ownership of the Tanbreez rare earth project in southern Greenland, removing the previous minority interest and complex cross-holding structure that had characterized the relationship between the two entities.
Under the terms of the agreement, Critical Metals will issue 0.035 of its common shares for every European Lithium share held. This consolidation marks a significant milestone for the Tanbreez asset, which is widely recognized as one of the world’s largest undeveloped deposits of heavy rare earth elements (HREE). By bringing the project under a single corporate umbrella, the company aims to simplify its capital structure and present a cleaner target for potential strategic partners and Tier-1 financiers.
Strategic Rationale and Transaction Details
The takeover is a logical progression in the development of the Tanbreez asset. Prior to this announcement, European Lithium held a 7.5% direct interest in the project and maintained a substantial 34% stake in Critical Metals itself. The merger will result in the cancellation of approximately 45.5 million cross-held shares, streamlining the governance and financial reporting of the combined group.
For the mining industry, this move signals a pivot toward consolidation as a means of de-risking high-capex critical minerals projects. The unified ownership structure is expected to accelerate technical studies and environmental permitting by centralizing decision-making.

Furthermore, the project benefits from year-round deep-water shipping access via the nearby fjords, allowing for direct transport to European and North American markets without the need for extensive overland infrastructure.
According to internal company data, Tanbreez is estimated to hold over 4.7 billion tonnes of mineralized material. The sheer scale of the resource suggests it could support multi-decade production cycles, positioning Greenland as a pivotal player in the global energy transition.

As of the end of the last quarter, European Lithium reported a cash position of approximately $219 million, while Critical Metals held roughly $124 million. Crucially, the project has already secured a preliminary commitment of $120 million in financing from the US Export-Import (Ex-Im) Bank. Currently, a significant majority of the world’s rare earth mining and refining is concentrated in China. Western governments, including the US and EU, have been aggressively pursuing “friend-shoring” strategies to diversify sources of critical metals.

Logistics and Operational Outlook
The operational plan for Tanbreez emphasizes minimal environmental footprint and logistical efficiency. Because the ore body is located close to the surface, the company anticipates using standard open-pit mining methods.
