VANCOUVER, BC : Elemental Royalty Corp. (TSX-V: ELE) has entered into a definitive agreement to acquire Vizsla Royalties Corp. (TSX-V: VZLA) in a transaction valued at approximately C$327 million (US$239 million). The deal, announced Thursday, secures Elemental a flagship Net Smelter Return (NSR) royalty on the high-grade Panuco silver-gold project in Mexico, significantly expanding its presence in the precious metals royalty sector.
The acquisition represents a 31% premium to Vizsla Royalties’ unaffected closing price and marks the largest single-asset transaction in Elemental’s history. For Elemental, the move consolidates its position as a high-growth royalty vehicle, following its 2022 merger with EMX Royalty Corp. and a series of strategic mining investments across Tier-1 jurisdictions.
Transaction Architecture: Terms and Premiums
Under the terms of the agreement, Vizsla Royalties shareholders will receive C$4.13 per share. This consideration offers flexibility, allowing shareholders to elect to receive 0.15 Elemental shares for each Vizsla share, a straight cash payment of C$4.13, or a combination of both.
The cash component of the deal is capped at C$82 million, ensuring that Elemental maintains a robust balance sheet while providing immediate liquidity to a portion of the Vizsla shareholder base. The 31% premium is joined by a 22% premium over the 20-day volume-weighted average price (VWAP) as of May 12, 2026.
“This transaction is a transformative step for Elemental,” a company spokesperson noted during the announcement. “By integrating the Panuco royalty, we are adding a world-class silver asset that provides high-margin exposure to one of the most exciting exploration and development stories in Mexico.”

The Panuco project site features modern infrastructure and high-grade silver-gold deposits.
The Panuco Asset: A Tier-1 Silver Cornerstone
The crown jewel of the acquisition is a 2.0% to 3.5% NSR royalty on the Panuco project, located in the Sinaloa state of Mexico. Managed by Vizsla Silver Corp., the project covers over 9,800 hectares within a prolific historical mining district. The royalty is particularly attractive to investors because it is uncapped, with no buyback provisions or step-downs, ensuring Elemental captures the full upside of future discoveries and production expansions.
According to the 2025 feasibility study for Panuco, the project is slated to become one of the world’s largest primary silver producers. Key production metrics include:
- Annual Output: An estimated 17.4 million silver-equivalent ounces over an initial 9.4-year mine life.
- Early Production Surge: Output is expected to exceed 20 million silver-equivalent ounces annually during the first five years of operation.
- Royalty Revenue: The deal is projected to contribute roughly 7,500 gold-equivalent ounces (GEOs) annually to Elemental’s portfolio once the mine reaches commercial production.
The Panuco district includes the high-grade Copala and Napoleon deposits, which remain open for expansion. This exploration potential was a primary driver for the deal, as royalty companies typically rely on “free” exploration upside provided by the operator’s drilling programs.
Strategic Rationale: Diversification and Silver Exposure
For Elemental, the acquisition addresses a key strategic goal: increasing silver exposure within a gold-heavy portfolio. As the energy transition continues to drive industrial demand for silver, many royalty firms are seeking to rebalance their portfolios toward the metal.
The deal also provides Elemental with a “cornerstone” asset that has a clear path to production. In the current 2026 global mining outlook, investors have placed a premium on royalty companies with assets that are either in production or have completed advanced feasibility studies, shielding them from the inflationary pressures currently affecting mining operators.

Modern mining operations like those planned for Panuco rely on heavy machinery and efficient logistics to maintain high-margin production.

Operational Synergy and Management
Post-transaction, Elemental’s existing management team will continue to lead the combined entity. The acquisition is expected to result in minor dilution, with current Elemental shareholders owning between 86% and 89% of the pro-forma company, depending on the election results of Vizsla shareholders.
The integration of the Vizsla Royalties portfolio allows Elemental to leverage its technical team to monitor the development at Panuco more closely. The deal also simplifies the royalty structure over the Panuco district, which has historically been fragmented across multiple holders.

Data integration and real-time monitoring are critical for royalty companies to track the performance of their underlying assets.
Path to Closing
The transaction is subject to several standard closing conditions, including:
- Shareholder Approval: A 66⅔% supermajority vote from Vizsla Royalties shareholders, plus a simple majority of minority shareholders.
- Regulatory Clearance: Approval from the Canadian courts and Mexican antitrust authorities (COFECE).
- Exchange Approval: Final sign-off from the TSX Venture Exchange.
The companies expect the deal to close in the third quarter of 2026. Until then, both entities will continue to operate independently. For investors in the mining news space, this acquisition signals a renewed appetite for M&A among mid-tier royalty players looking to challenge the dominance of larger peers like Franco-Nevada and Wheaton Precious Metals.
As the Panuco project advances toward its first pour, Elemental is positioned to transition from a diversified explorer-royalty firm into a significant cash-flowing entity, anchored by one of Mexico’s most promising silver assets.
