Equinox Gold Corp. and Orla Mining Ltd. have officially completed their landmark business combination, creating a combined senior gold producer with an annualized output of approximately 1.1 million ounces. The transaction, finalized on July 31, 2026, establishes an entity valued at $18.5 billion that consolidates key operational assets across the Americas into a single corporate structure.
Under the terms of the court-approved plan of arrangement, former Orla Mining shareholders received one common share of Equinox Gold plus $0.0001 in cash for each Orla share held. Existing Equinox Gold shareholders retain approximately 67% of the combined company, while former Orla shareholders hold the remaining 33%.
Jason Simpson, who led Equinox Gold through its growth phase, will continue as Chief Executive Officer of the combined enterprise, overseeing an integrated portfolio spanning six producing gold mines and multiple advanced development projects in Canada, the United States, Mexico, and Nicaragua.
Corporate Integration and Leadership Transition
The completion of the merger follows overwhelming support from shareholders of both companies at special meetings held earlier in July, alongside clearance from regulatory authorities and the Supreme Court of British Columbia.
With the transaction formally closed, Orla Mining common shares are set to be delisted from the Toronto Stock Exchange (TSX) and the NYSE American. The unified management team has announced that consolidated 2026 financial guidance and second-quarter operational results for the combined company will be released on August 5, 2026.

- South Railroad Project (Nevada, USA) and Cerro Quema (Panama): Advanced-stage development and exploration assets offering clear pathways to expand aggregate annual production toward the 1.9-million-ounce threshold over the decade.
The integration of Greenstone and Camino Rojo positions the combined company among the most prominent mid-tier-to-senior gold producers listed in North America, increasing index weightings and institutional appeal.

The transaction was structured to preserve balance sheet strength while offering immediate exposure to a larger, more liquid trading vehicle.
