Mining M&A has entered a phase in which headline deal value is rising faster than transaction confidence. Copper, gold and critical minerals remain strategic targets, but buyers are becoming more selective about what they pay for: and when they pay it.
Global mining M&A value reached approximately $93.7 billion in 2025, according to White & Case data, while FactSet recorded $89 billion across 180 transactions valued above $25 million. S&P Global, using a narrower resource-backed methodology, reported $52.71 billion across 50 qualifying deals.
The differences reflect coverage, deal-size thresholds and whether datasets include corporate combinations, asset sales, minority stakes or royalty transactions. The common conclusion is clearer: deal value increased sharply, while transaction volumes remained broadly stable. Fewer, larger and more strategic deals drove the market.
For operators, investors and lenders, the central question is no longer whether mining assets are scarce. It is whether the asset’s geological, permitting and operating potential can be converted into cash flow on a credible schedule.
Valuation gaps are shaping deal structures
Public-market valuations remain well below the prices strategic buyers may be willing to pay for scarce or strategically located assets.
Industry analysis cited by S&P Global indicates that senior gold producers traded around 0.75 to 0.90 times price-to-net asset value, while completed transactions were closer to 0.80 to 0.95 times. Gold juniors and developers traded nearer 0.40 to 0.60 times P/NAV, compared with transaction ranges of approximately 0.65 to 0.75 times.
Copper has attracted a larger strategic premium. Major copper producers have traded around 1.10 to 1.20 times P/NAV, while transactions have cleared closer to 1.20 to 1.35 times. Mid-tier copper developers, however, have often remained in the 0.50 to 0.80 times range, with deals closer to 0.85 to 1.10 times.
That spread is not necessarily evidence of market inefficiency. It may reflect the value of control, access to infrastructure, reserve replacement, permitting progress or a buyer’s ability to combine assets within an existing district.
It can also reflect risk that has not yet been fully recognized by the seller. A low P/NAV multiple may indicate opportunity, but it may also signal uncertainty around metallurgy, capital intensity, water access, permitting or mine-life assumptions.

Drill core verification is one of the earliest tests of whether a resource can support a higher valuation.
A transaction milestone: resource ownership is not project delivery
Capstone Copper’s acquisition of the copper assets at the San Pietro project in Chile illustrates the distinction between acquiring resource exposure and acquiring production.
Capstone paid $25 million in shares for approximately 16,000 hectares in the Atacama Region. The acquired Rincones and Colla deposits contain an inferred resource of approximately 492 million tonnes grading 0.23% copper, according to Skillings’ coverage of the transaction.
At face value, the resource represents approximately 1.13 million tonnes of contained copper, before recoveries, dilution, mining losses, processing costs, royalties, taxes and capital requirements are considered. The transaction consideration equates to roughly $22 per tonne of inferred resource, or about 1 cent per contained pound on an unadjusted basis.
Those calculations are useful for comparison, but they are not a mine valuation. The resource is classified as inferred and does not support economic decisions or establish mineral reserves. The next milestone is therefore technical conversion: drilling, metallurgical testing, resource definition and engineering studies.
The transaction also demonstrates why district-scale consolidation can command a premium. San Pietro sits near Capstone’s Mantoverde and Santo Domingo assets, creating the possibility of shared infrastructure, processing flexibility and geological knowledge transfer. Those benefits remain subject to technical and economic work.
A similar sequencing principle applies to development-stage companies. FireFly Metals’ Green Bay financing raised approximately A$190 million to advance resource growth, development studies and pre-construction work, with a final investment decision targeted for mid-2027.
The financing does not eliminate execution risk. It moves the project toward a defined decision point. That distinction matters because valuation tends to improve when uncertainty is reduced through measurable milestones rather than through promotional resource growth alone.
Scenario framework for mining M&A
The following framework can be used to assess how consideration and risk may be allocated across a transaction.

The most resilient structures are usually those that link consideration to information milestones. That allows the parties to renegotiate risk through evidence rather than relying on a single long-term commodity forecast.
Royalties and streams are bridging tools, not risk removers
Royalty and streaming structures can narrow valuation gaps where a full acquisition would require the buyer to assume too much operating or construction risk.
A royalty company may provide upfront capital in exchange for a percentage of future revenue or production. A stream typically involves an upfront payment followed by the right to purchase a defined amount of metal at a predetermined price.
These structures can be attractive to project owners because they avoid some forms of equity dilution. They can also provide buyers with exposure to mine cash flow without taking direct responsibility for labor, processing, sustaining capital or site-level environmental management.
However, the risk profile changes rather than disappears.
The buyer remains exposed to:
- Delayed permitting or construction.
- Lower grades and recoveries.
- Production shortfalls.
- Operator liquidity problems.
- Changes to mine plans.
- Contract enforceability under local law.
- Senior debt, security and change-of-control provisions.
Industry analysis from Crux Investor estimated that royalty-related M&A exceeded $3.5 billion in 2025. Larger, diversified royalty companies have generally traded at higher P/NAV multiples than smaller platforms, reflecting broader asset exposure and more predictable cash flow.
That valuation premium can support acquisitions, but it can also encourage competition for quality royalty portfolios. Buyers need to test whether the acquired interests are near-term producing assets, long-dated development options or exploration-stage claims.
The key metrics are straightforward:
- Upfront consideration: How much capital is committed before production?
- Payback period: How long must the project operate before the investment is recovered?
- Operator quality: Does the mine owner have the balance sheet and technical capability to build and operate?
- Contract strength: Does the interest survive refinancing, ownership changes and mine-plan revisions?
- Commodity sensitivity: How does the structure perform under lower prices, lower volumes or delayed production?
Earnouts can close the gap: but create new disputes
Contingent consideration is becoming more common when buyers and sellers disagree about long-term commodity prices or project timing.
In an analysis by Aird & Berlis, earnouts are described as a way to link part of the purchase price to future performance or defined milestones.
For mining transactions, those milestones can include:
- A feasibility study.
- A construction decision.
- Reserve conversion.
- Permitting.
- First production.
- A metal-price threshold.
- A production or recovery target.
The terms must be precise. “Commercial production” can mean different things depending on whether it is defined by throughput, revenue, payable metal or sustained output. Price-linked payments also require a clear reference market, averaging period and treatment of hedging.
A contingent payment may protect a buyer from overpaying for an unbuilt mine, but it can create disagreements if the buyer changes the mine plan or delays development. Sellers should therefore assess not only the amount of the earnout but also the buyer’s ability and obligation to pursue the milestone.
Execution risk is the final valuation test
The mining sector’s long development timelines make execution risk particularly important. An acquisition that appears inexpensive on a resource basis can become costly if the project requires a new access road, desalination plant, power connection, tailings facility or processing route.
Regulatory and social risks are also increasingly embedded in transaction diligence. Skillings’ analysis of mining ESG compliance highlights water, tailings, closure liabilities, community commitments and emissions data as factors that can affect permitting and financing.
For a buyer, diligence should connect technical assumptions to the implementation schedule:
- Does the resource model support the planned mine sequence?
- Are water rights and processing routes secure?
- Are tailings designs sufficiently advanced?
- Are closure liabilities included in the financial model?
- Has community consultation produced documented commitments?
- Can the operator fund the next milestone without excessive dilution?
- Are royalties, streams and offtake agreements properly reflected in project economics?

Operational data systems help buyers test whether projected production can be delivered after closing.
What decision-makers should watch next
The next phase of mining M&A is likely to favor transactions that demonstrate measurable progress between ownership and production.
For copper, that means infrastructure access, resource conversion, metallurgical performance and permitting readiness. For gold, reserve replacement, free cash flow and mine-life extension remain central. For lithium, nickel and other critical minerals, buyers must also assess processing capacity, export controls and downstream market access.
The most useful milestone is not always first production. In many transactions, the decisive point arrives earlier: a completed feasibility study, a permit, a binding financing package or a resource upgrade that materially reduces uncertainty.
Valuation gaps will persist because sellers price strategic scarcity while buyers price execution risk. Royalties, streams, earnouts, options and joint ventures can bridge that gap, but only when the contract clearly assigns responsibility for the risks that remain.
The discipline required in mining M&A is therefore simple to state and difficult to apply: pay for demonstrated progress, structure uncertain value over time and treat every headline resource as the beginning of diligence: not the conclusion.
